Snr Contracts Advisor

Our client, an emerging Operator within the Oil & Gas Industry, has a requirement for an experienced Senior Contracts Advisor with a focus on Downstream / LNG Projects.
The role will be initially based in Houston, TX however may require visits to Project Sites both domestically and internationally.

Job Overview
This role will be an integral part of the Snr Leadership Team and will be at the forefront of the development and execution of a Major Petro-Chemical facility.
The Snr Project Contracts Advisor is primarily responsible for assisting the Sr. Project Manager for Contracts and Project Controls in contracting for, and administering an Engineering Design and Services Agreement, and negotiating an EPC Agreement. The Snr Project Contract Advisor initiates, tracks and monitors the RFP process and contract development process, contract changes, deliverables, correspondence and risks, and maintains associated documentation.

Roles/Responsibilities

  • Understand and aid in the project teams' understanding of all contract requirements and coordinate with the project team to ensure compliance with all contracts throughout the life of the project. Responsible for informing the project team of the requirements of the contract and monitoring compliance. Works with the project team and/or business unit and Legal, ensuring that all legal and contractual matters are addressed efficiently and promptly and manages the OBE process to convert from a cost reimbursable phase to a Lump Sum phase.
  • Responds to complex inquiries regarding contract obligations and revisions and prepares change order and amendment documents in conjunction with legal and the contracts manager. Aids the Sr. Project Manager, Contracts and Procurement in managing the ongoing life cycle of the agreement including any potential amendments to product/service price and/or terms and conditions, contract performance against commitments, and compliance to agreed terms.
  • Aids in negotiating contract terms, pricing and payment schedules, ensuring that the agreements with vendors/suppliers are commercially advantageous. Prepares negotiation plan and prepares back up documentation prior to negotiations.
  • Prepares reviews, drafts white papers and creates tools for analyzing and tracking of Contractor OBE process and claims.
  • Prepares and initiates letters and responses to the EPC contractor regarding various aspects of the project and contract. Prepares notices and facilitates quick responses to EPC contractor's inquiries.
  • Liaise between the risk and tax departments and contractors to develop and administer insurance and tax programs required for specific projects, regions, or financing needs.
  • Develops and integrates contract management tools, templates, methods and processes. Using tools and templates, prepares and disseminates information regarding contract status, compliance, modifications, etc. Works with Project Analyst to develop and maintain the contract database and manage the contract document repository in SharePoint.
  • Actively involved in regional and global contract management initiatives and aware of impacts to the project, including any weather threats to the region or job site, or governmental tariff risk and ensures proper documentation and management of the initiatives or events.


Experience / Education

  • Recognized Bachelors Degree - Preferably in Business or English
  • Minimum of 10 x years experience within the energy / oil & gas industry
  • LNG and Commercial Legal experience a plus.
  • Possess comprehensive knowledge of general corporate business practices, government and commercial contracting regulations and principles, subcontracting practices, and accounting and finance principles
  • Clear understanding of contracting strategies, including Convertible Contracts (i.e. OBE to LSTK Agreements)
  • Experience in Open Book Process is a plus
  • Strong contracts negotiation skills
  • Able to resolve contracts and pricing issues
  • Detail oriented and adheres to deadlines
  • Able to demonstrate excellent analytical and mathematical skills
  • Certification a plus (i.e., CFCM, CCCM, CPCM, CPM)
  • National Contract Management Association (NCMA) membership or International Association for Contract and Commercial Management (IACCM) preferred

Contract Specialist

Key Duties & Responsibilities:

* Work closely with legal and supply chain in finalizing sub-contract s/POs for execution
* Customer Contract Execution
* Sub-contracts and major Purchase Orders execution
* Work with the sub-contractor in obtaining all the contractual instruments like all the Bank Bonds, insurance, LCs and permits
* Review, coordinate and administer the final contract documentation interfacing with all the stake holders involved
* Coordinate and prepare the action item log as a part of Contract page turn which is the ITO to OTR handoff process
* Prepare the early contract deliverables and support the Document controller in preparing the Project MDR
* Work with internal support groups in providing the contractual instruments like Bank Bonds, Insurance, PCGs
* Review, coordinate and administer the final contract documentation interfacing with all the stake holders involved
* Make sure the terms are in sync with customer contracts and make necessary adjustments to make it back-to-back terms.


Management of Change:
* Lead the process and procedure for management of change
* Control the management of change documentation
* Write contractual letters to customers and contractors in conjunction with the Project team and legal group
* Oversee timely contractual billings to the customers and support the positive cash flow for the services/projects -Coordinate with project controls, Billing and Finance group to provide contractual inputs to for billing and revenue/cost recognition
* Keep track of the penalties and fines from both customer and contractor perspective
* Work closely with QS to review the Contractor invoices against the terms of the contract and ensure proper compliance
* Visit project sites regularly to spot audit the contractor's supply and installation against their invoices to ensure compliance
* Conduct audits on contractors if necessary
* Support Supply Chain Group on key terms of material/service purchase orders
* Support Cost Management, Finance groups with contractually relevant data
* Any such duties and responsibilities assigned based on Project and Departmental requirements
* Flag any compliance issues during the project execution
* Conduct and manage the risk management workshops with the project teams on monthly basis
* Claims and dispute management


Preferred Education/Experience/Skills:
* Bachelor's degree in Finance/Engineering
* 5-10 years experience in related position(s).
* Worked in Oil and Gas and/or EPC Business
* Highly resourceful, adaptable and flexible
* Strong problem solving instincts and close attention to detail
* Software skills - Oracle, MS-Office

Deputy Project Business Manager

Petroplan are seeking an experienced Deputy Project Business Manager to work for one of our clients, a mid-sized operator within the petro-chem industry. The role will initially be based in Houston but require to transfer to the Project Site in Louisiana (near Baton Rouge) in mid-2019


Job Overview:
The Deputy Project Business Manager will assist the Project Business Manager with the development, management and administration of Project Business Services - insurance, tax, procurement, assisting with employee logistics, contract administration and compliance, legal affairs, commercial negotiations, project risk management as well as financial and commercial reporting and analysis.


Duties / Responsibilities:
Assist the Project Business Manager with the following:

* Commercial and financial analysis
* Project cost assessments
* Risk assessment and risk register
* Contracting strategy
* Potential execution options
* Sets up Project account budgets and cost management and accounting system
* Tax strategy and tax accrual processes including interface with the tax department and local Tax authorities - this includes import and export duties and tariffs
* Maintaining overall Project financial and accounting records and reports
* Assist with corporate audits and/or third party audits where appropriate.
* Manage cash flow, cost forecast and trending updates in partnership with Project Controls team
* Manage accounts payable/ accounts receivable function
* Participates with the EPC estimate development and Owners cost review and consolidation into TIC budget basis with assistance from Project Controls and other team members
* Insurance requirements
Contract Administration
* Assists with Contractor commercial administration
* Contracting and Terms and Conditions review and support with legal department and the Project Director
* Participates in the review of engineering and construction contracts contain requirements for Project Controls and specify all necessary project control documents and participates periodically in audits the assess the Contractor/s' compliance with the requirements

Skills / Experience:
* Bachelor Degree (or equivalent) in Engineering, Construction Management or Business.
* A minimum of 10 years' of Project Business Services capital projects experience
* Demonstrated supervisory experience
* Experience in all phases of capital development from concept / screening through construction, commissioning and handover
* Strong communication and interpersonal skills required to interface effectively with all levels within the organization and external customers
* Ability to work under tight deadlines and capable of operating independently
* Proficient in software applications to include: Primavera, ASPEN, and other enterprise reporting tools, Microsoft Office - Word, Excel, Access, and PowerPoint
* Proficient in standard functionality of cost control software packages
* Proficient in Total Installed Costs (TIC) estimating skills / concepts
* Experience in contract management procedures / strategies
